1. Who we are and what these terms cover
Lumerell is provided by Open Meadow LLC, a Massachusetts limited liability company (“Open Meadow”, “we”, “us”). These terms apply when you create an account or use Lumerell. Our Privacy Policy explains how we handle information and is part of these terms.
2. Who may use Lumerell
Lumerell is for teachers and adult school staff. It is open to schools and districts working with Open Meadow, and to people we invite. You must be an adult to hold an account. It is not for students, and student accounts are not offered.
3. Your account
You sign in with Google or with a link we email you. Keep your sign-in method secure and tell us at hello@openmeadow.io if you think someone else has used your account. You are responsible for what is done through it.
4. Your work stays yours
Everything you create or upload in Lumerell — courses, plans, worksheets, packets, reflections, goals — is yours. You give us only the permission we need to store it, show it back to you, and run the features you ask for on it. We do not claim ownership of it, and we do not use it to train machine-learning models. Drafts that Lumerell produces for you are yours to keep, change, or discard.
You are responsible for what you upload. Do not upload material you do not have the right to use, and do not enter confidential student records (see the Privacy Policy, section 11).
5. Drafts are starting points
Drafting and review features produce suggestions for a professional educator to judge. They can be wrong, incomplete, or out of date, and academic standards, facts, and links they mention should be checked before use with students. Suggestions wait for you to apply them, and changes Lumerell makes at your request can be undone. You remain the instructional authority in your classroom.
6. Google connections
Google features are optional. When you use one, you also agree to Google’s terms, and Google’s permission screen governs what Lumerell may access. You can remove Lumerell’s access at any time in your Google Account. What we do with Google data is described in the Privacy Policy, section 3.
7. Acceptable use
Do not use Lumerell to break the law, to infringe anyone’s rights, to harass anyone, to store or process student records you are not permitted to, to probe or disrupt the service, or to resell it. We may suspend an account that does.
8. Cost
Lumerell is licensed to school districts under a written agreement between the district and Open Meadow, which sets the price and term. Teachers do not pay individually. Open Meadow may also give individual teachers free access, for example to try Lumerell and tell colleagues about it, and may change or end free access with reasonable notice. There is no payment feature inside Lumerell.
9. Availability and changes
Lumerell is under active development. Features may change, be added, or be removed, and the service may sometimes be unavailable. We will try to give notice of changes that matter to how you work, and we will not remove your work without telling you first.
10. Ending your account
You can stop using Lumerell at any time and delete your account from Settings, or by emailing hello@openmeadow.io (Privacy Policy, section 9). We may close an account that breaks these terms; if we do, we will tell you why and give you a reasonable chance to export your work first.
11. Warranties and liability
What we promise. We will run Lumerell with reasonable care and skill, and if something is broken, tell us at hello@openmeadow.io and we will work to fix it.
What we cannot promise. Beyond that, Lumerell is provided “as is”. We do not promise that it will be uninterrupted or error-free, that drafts will be accurate or fit for a particular class, or that it meets any particular legal requirement of your school. Where the law allows, we disclaim all other warranties, express or implied, including merchantability and fitness for a particular purpose.
Limits on liability. To the fullest extent permitted by law, Open Meadow is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost data, lost profits, or lost time, arising from your use of Lumerell. Our total liability for any claim relating to Lumerell is limited to the amount paid to Open Meadow for the account concerned in the twelve months before the claim, or one hundred US dollars if nothing was paid. Nothing in these terms limits liability that cannot be limited by law, including for fraud or for death or personal injury caused by negligence.
Your responsibility. You are responsible for what you upload and for how you use drafts with students. If a third party makes a claim against Open Meadow because of content you uploaded or your breach of these terms, you agree to cover the reasonable costs of that claim.
12. Governing law and disputes
These terms are governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict-of-law rules. Any dispute that we cannot resolve by talking to each other will be brought in the state or federal courts located in Massachusetts, and you and Open Meadow each agree to their jurisdiction. If a district agreement says otherwise, the district agreement governs for that district’s teachers.
